Terms of Use

The terms that govern your access to and use of the Emerald Ekam website, mobile application, customer portal and related services.

These Terms of Use (“Terms”) govern your access to and use of the Emerald Ekam website, mobile application, customer portal, communication channels and related digital services, collectively referred to as the “Platform”.

The Platform is owned and operated by Eclat Net Advisors Private Limited (a subsidiary of Emerald Finance Limited), a company incorporated under the Companies Act, 2013, having its registered office at SCO 7, Industrial Area Phase 2, Chandigarh - 160002 (“Eclat”, “Emerald Ekam”, “we”, “us” or “our”).

By registering on, accessing or using the Platform, clicking an acceptance button, providing an OTP, submitting an application or otherwise using any service made available through the Platform, you confirm that you have read, understood and agreed to these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform.

1Eligibility

You may use the Platform only if:

  1. you are at least 18 years old and legally competent to enter into a binding contract under Indian law;
  2. you are an Indian citizen or otherwise legally eligible to obtain the relevant service in India;
  3. the information provided by you is true, complete and current;
  4. you are not prohibited by law, regulation, judicial order or contractual restriction from using the Platform; and
  5. you satisfy any additional eligibility requirements prescribed for a particular product or service.

Where the Platform is accessed through an organisation, partner or other institution, your access may also be subject to the terms agreed between that institution and Eclat.

2Nature of the Platform

Emerald Ekam is a digital platform through which users may discover, compare, apply for, access, manage or transact in financial and allied products and services.

Depending on availability, these may include:

  1. loans and credit products;
  2. payment and bill-payment services;
  3. insurance products;
  4. digital gold or other investment-linked products;
  5. gift cards, vouchers, rewards and benefit products;
  6. financial-product comparison and application-routing services; and
  7. other products or services introduced from time to time.

The availability of a product does not constitute an assurance that it is suitable for you or that your application will be approved.

3Role of Eclat

Unless expressly stated otherwise for a particular product, Eclat acts as a technology platform, facilitator, distributor, sourcing partner, marketing partner, service provider or lending service provider connecting users with banks, non-banking financial companies, insurers, payment-system participants, product issuers, merchants and other third-party service providers.

Eclat is not a bank and does not accept public deposits.

Where a financial product is provided by a third-party regulated or authorised entity:

  1. the product is issued, sanctioned, underwritten or serviced by that entity;
  2. the final decision on eligibility, pricing, limits, approval, rejection, disbursement and servicing rests with that entity;
  3. the definitive agreement for the product will be between you and the relevant provider; and
  4. the provider’s terms, privacy notice, key fact statement, policy wording, fees and other product-specific documents will apply in addition to these Terms.

For products directly sold, distributed or provided by Eclat, the relevant product-specific terms displayed during the transaction will also apply.

4Registration and Account Security

To access certain services, you may be required to create an account using your mobile number, email address, OTP, password or another authentication method.

You agree to:

  1. provide accurate and complete registration information;
  2. maintain only one account unless we expressly permit otherwise;
  3. keep your login credentials, OTPs and passwords confidential;
  4. immediately notify us of suspected unauthorised account access;
  5. ensure that your registered mobile number and email address remain active; and
  6. accept responsibility for activities conducted through your account, except where caused by our proven failure to maintain reasonable security safeguards.

You must not share an OTP, password, PIN or authentication credential with any person, including anyone claiming to represent Eclat or a service provider.

We may suspend access where we reasonably suspect impersonation, fraud, unauthorised access, duplicate registration, security compromise or misuse.

5User Verification and KYC

You may be required to complete identity verification, know-your-customer checks, anti-money-laundering checks, fraud screening or other due-diligence procedures.

For this purpose, you authorise Eclat and the relevant service providers to verify information and documents provided by you through lawful sources and authorised service providers.

Verification may include:

  1. mobile number and email verification;
  2. PAN verification;
  3. Aadhaar-based verification, where lawfully permitted and separately consented to;
  4. bank-account verification;
  5. video KYC or digital KYC;
  6. income verification;
  7. business, GST or corporate verification;
  8. credit-bureau enquiries, where applicable and consented to; and
  9. fraud, sanctions, identity and risk checks.

Submitting information or completing verification does not create a right to receive any product.

6User Information and Authorisations

You confirm that all information, documents, declarations and instructions submitted through the Platform are accurate, authentic, current and not misleading.

You authorise Eclat, where necessary for providing the requested service, to:

  1. collect and process your information;
  2. verify your identity, income, business or bank details;
  3. share your application and supporting information with relevant service providers;
  4. obtain status updates and transaction information from such providers;
  5. communicate with you regarding your account, applications, payments and services;
  6. retain records as required under applicable law or contractual obligations; and
  7. use authorised technology and service providers for hosting, verification, analytics, communications, fraud prevention and customer support.

Product-specific permissions, including credit-bureau consent or account-access consent, will be obtained separately wherever required.

7Applications for Financial Products

When you apply for a financial product through the Platform:

  1. your application is subject to the provider’s eligibility, underwriting, verification and approval requirements;
  2. indicative eligibility, offers, limits, rates or repayment amounts displayed on the Platform are not final unless confirmed in the provider’s definitive documents;
  3. the provider may request additional information or documents;
  4. an application may be approved, rejected, modified, put on hold or withdrawn at any stage;
  5. submission of an application does not guarantee sanction, disbursement, issuance or activation; and
  6. Eclat is not responsible for a provider’s independent credit or underwriting decision.

You must carefully review the key fact statement, sanction letter, loan agreement, repayment schedule, insurance policy, product disclosure or other definitive documentation before accepting a product.

8Loans and Credit Products

For loans and credit products, the applicable lender will determine:

  1. the sanctioned amount;
  2. interest rate and annual percentage rate;
  3. tenure and repayment schedule;
  4. processing fees and other charges;
  5. security, guarantee or documentation requirements;
  6. penal charges and consequences of delay;
  7. cooling-off or look-up period, where applicable; and
  8. all other credit terms.

Loan disbursement and repayment must ordinarily occur directly between the borrower and the relevant regulated lender or through a legally permitted payment mechanism.

Eclat will not require you to transfer loan repayments to an unauthorised personal account.

Failure to repay a loan may result in additional charges, recovery action, adverse reporting to credit-information companies and legal proceedings in accordance with the relevant loan documents and applicable law.

9Payments and Transactions

Payments on the Platform may be processed through banks, payment gateways, payment aggregators, card networks, UPI, wallets or other authorised payment-service providers.

You agree that:

  1. payment processing is subject to the terms of the relevant payment provider;
  2. a payment is complete only after successful confirmation from the payment system and the Platform;
  3. bank or payment-gateway delays may affect transaction status;
  4. you must not initiate duplicate payments while a transaction is pending;
  5. convenience, processing or platform fees, where applicable, will be disclosed before payment; and
  6. taxes will be charged as required by law.

Eclat does not ordinarily store complete card details, UPI PINs or banking passwords.

10Product-Specific Services

Certain products may be provided under separate terms.

10.1Insurance

Insurance products are issued and underwritten by the relevant insurer. Coverage, exclusions, waiting periods, premiums, claims and settlement are governed by the policy documents issued by that insurer.

10.2Digital Gold

Digital-gold transactions may be executed through an independent gold provider. Purity, custody, storage, pricing, delivery, sale and redemption are governed by the provider’s terms.

The value of gold may rise or fall, and past performance does not assure future returns.

10.3Gift Cards and Vouchers

Gift cards and vouchers may be subject to:

  1. issuer-specific validity periods;
  2. redemption conditions;
  3. merchant restrictions;
  4. partial-redemption rules;
  5. exclusions and blackout periods; and
  6. non-refundable or non-transferable conditions.

You must verify the applicable terms before purchase.

10.4Bill Payments

Bill-payment services depend on biller and payment-network confirmations. The Platform does not control the biller’s records, service continuity or the time taken by a biller to update a successful payment.

11Communications

By registering on or using the Platform, you consent to receive transactional and service-related communications through:

  1. SMS;
  2. email;
  3. telephone calls;
  4. WhatsApp;
  5. push notifications; and
  6. in-Platform messages.

These communications may include OTPs, security alerts, application updates, payment confirmations, repayment reminders, policy or service notices and customer-support messages.

Marketing communications will be sent in accordance with applicable law and your communication preferences. You may opt out of promotional communications through the method specified in the relevant message. Opting out will not prevent essential transactional or regulatory communications.

Calls or conversations may be recorded for quality, training, verification, dispute resolution, fraud prevention and compliance purposes, subject to applicable law.

12Fees and Charges

Any fee payable to Eclat or a service provider will be disclosed before the relevant transaction or acceptance.

You are responsible for:

  1. product fees and charges accepted by you;
  2. applicable taxes;
  3. charges imposed by your bank, telecom operator or payment provider; and
  4. penalties or charges arising from your breach of product-specific obligations.

Fees already incurred may be non-refundable except where required by law or expressly stated otherwise.

13Refunds, Cancellations and Failed Transactions

Refunds and cancellations are subject to:

  1. the nature of the product;
  2. the issuer’s or provider’s policy;
  3. payment-network rules;
  4. whether the product has already been issued, activated, redeemed or utilised; and
  5. applicable law.

For failed payments where money has been debited but the transaction is not completed, reversal timelines may depend on the issuing bank and payment provider.

Where a duplicate, incorrect or unauthorised transaction is suspected, you must promptly contact us and your bank or payment provider.

14Prohibited Use

You must not:

  1. use the Platform for any illegal, fraudulent or unauthorised purpose;
  2. provide false, forged, manipulated or misleading information;
  3. impersonate another person or access another user’s account;
  4. use another person’s identity, payment instrument or documents without lawful authority;
  5. attempt to bypass KYC, eligibility, credit, transaction or security controls;
  6. reverse-engineer, copy, scrape, probe or interfere with the Platform;
  7. introduce malware, automated scripts or harmful code;
  8. use the Platform for money laundering, terror financing, fraud or prohibited transactions;
  9. abuse customer-support personnel or other users;
  10. make false complaints, disputes or chargeback claims; or
  11. use Platform content, data or services for competing commercial activity without written permission.

We may suspend or terminate access and report suspected unlawful activity to the appropriate authorities or service providers.

15Third-Party Services and Links

The Platform may contain links, integrations or redirects to third-party websites, applications and services.

Eclat does not control third-party platforms and is not responsible for their:

  1. availability;
  2. content;
  3. security;
  4. privacy practices;
  5. service quality; or
  6. independent acts or omissions.

Your use of a third-party service is governed by that provider’s terms.

16Intellectual Property

All rights in the Platform, including its software, design, interface, trademarks, logos, content, workflows, databases, graphics and documentation, belong to Eclat or its licensors.

You receive a limited, revocable, non-exclusive, non-transferable right to use the Platform for personal and lawful purposes.

You must not copy, modify, distribute, license, sell, reproduce or commercially exploit any part of the Platform without prior written permission.

17Privacy and Data Protection

Your personal data will be handled in accordance with:

  1. the Privacy Policy displayed on the Platform;
  2. product-specific consent notices;
  3. applicable data-protection laws; and
  4. contractual and regulatory obligations applicable to Eclat and the relevant service providers.

The Privacy Policy explains the categories of data collected, purposes of processing, data-sharing arrangements, retention practices, security safeguards and methods for exercising applicable rights.

Where there is a conflict between these Terms and a specific privacy or consent notice regarding personal-data processing, the specific privacy or consent notice will apply to that processing.

18Platform Availability

We endeavour to keep the Platform secure and available but do not guarantee uninterrupted or error-free access.

Access may be affected by:

  1. maintenance or upgrades;
  2. internet or telecom failures;
  3. bank, lender, issuer or payment-provider outages;
  4. cybersecurity incidents;
  5. force-majeure events;
  6. regulatory requirements; or
  7. matters outside our reasonable control.

We may change, suspend, withdraw or restrict any feature where reasonably necessary for security, compliance, technical or commercial reasons.

19Disclaimers

To the maximum extent permitted by law:

  1. the Platform is provided on an “as available” basis;
  2. product information displayed may be supplied by third parties and may change;
  3. financial illustrations, calculators and estimated eligibility results are indicative only;
  4. Eclat does not guarantee approval, returns, savings, uninterrupted service or suitability of any product;
  5. information on the Platform does not constitute investment, legal, tax or financial advice; and
  6. you remain responsible for evaluating the suitability and affordability of a product before accepting it.

Nothing in these Terms excludes any statutory right that cannot lawfully be excluded.

20Limitation of Liability

To the maximum extent permitted by applicable law, Eclat will not be liable for indirect, incidental, special, consequential, exemplary or punitive losses, including loss of profit, opportunity, goodwill or data.

Eclat will not be liable for loss arising solely from:

  1. a third-party provider’s independent decision or failure;
  2. inaccurate information provided by you;
  3. unauthorised use caused by your failure to protect credentials;
  4. delays in banking, payment or telecom systems;
  5. market-price movements;
  6. events beyond our reasonable control; or
  7. your breach of these Terms or product-specific terms.

Where liability cannot be excluded, Eclat’s aggregate liability will be limited to the amount of fees, if any, paid directly to Eclat for the specific service giving rise to the claim during the preceding six months, except where a different liability standard is required by law.

21Indemnity

You agree to indemnify Eclat, its directors, officers, employees and authorised representatives against losses, claims, penalties, liabilities and reasonable costs arising from:

  1. your breach of these Terms;
  2. false or unauthorised information submitted by you;
  3. misuse of the Platform;
  4. violation of law or third-party rights; or
  5. fraud or wilful misconduct attributable to you.

This clause will not apply to losses caused by Eclat’s own fraud, wilful misconduct or liability that cannot lawfully be excluded.

22Suspension and Termination

We may restrict, suspend or terminate your account where:

  1. these Terms are breached;
  2. fraud, misuse or unlawful activity is suspected;
  3. required information is not provided or cannot be verified;
  4. a service provider or partner withdraws access;
  5. continued access creates security or regulatory risk; or
  6. we are directed to do so by a competent authority.

You may request account closure, subject to completion of pending transactions, repayment obligations, legal holds and record-retention requirements.

Account closure will not cancel obligations already incurred under a loan, insurance policy, voucher, payment or other product agreement.

Please provide your registered mobile number or email address, transaction or application reference and a clear description of the issue.

Complaints relating to a specific lender, insurer, payment provider, product issuer or other service provider may also be escalated to that provider in accordance with its grievance-redressal process.

Nothing in these Terms prevents you from approaching a competent regulator, ombudsman, consumer commission, court or other statutory authority where legally available.

24Electronic Acceptance and Records

You agree that:

  1. acceptance through an OTP, checkbox, electronic signature, button or other electronic action may constitute valid acceptance;
  2. electronic records maintained by Eclat or a service provider may be used to evidence your actions and instructions;
  3. communications sent to your registered mobile number or email address will be treated as validly delivered, subject to applicable law; and
  4. you are responsible for maintaining current contact information.

25Amendments

We may update these Terms to reflect changes in law, regulation, services, technology or business practices.

The updated Terms will be displayed on the Platform with the revised effective date. Where a material change requires specific notice or consent, we will provide it through an appropriate channel.

Your continued use of the Platform after the amended Terms become effective constitutes acceptance, except where fresh consent is legally required.

26Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to any mandatory consumer-protection or statutory forum available to you, courts at Chandigarh will have jurisdiction over disputes arising from these Terms or the Platform.

The parties may attempt to resolve disputes amicably before initiating formal proceedings.

27General Provisions

27.1Entire Agreement

These Terms, the Privacy Policy, applicable consent notices and product-specific documents constitute the agreement governing your use of the Platform.

27.2Severability

If any provision is held invalid or unenforceable, the remaining provisions will continue in effect.

27.3No Waiver

Failure to enforce a provision does not constitute waiver of that provision.

27.4Assignment

You may not assign your rights under these Terms without our written consent. Eclat may assign or transfer its rights and obligations as part of a restructuring, merger, transfer of business or legally permitted arrangement.

27.5Relationship

Nothing in these Terms creates an employment, partnership, joint venture, fiduciary or agency relationship between you and Eclat.

27.6Survival

Provisions relating to payments, liability, indemnity, intellectual property, disputes and record retention will survive account closure or termination where applicable.
